AGENARY — Terms of Service

1. Acceptance of Terms

By accessing or using agenary.com or any Agenary-powered service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to both business clients who contract Agenary's services and individuals who interact with Agenary-powered AI systems on behalf of those clients.

2. Description of Service

Agenary provides AI-powered lead conversion infrastructure for businesses. This includes automated outbound voice contact, lead qualification, appointment booking, and related workflow automation — delivered as a managed service on behalf of business clients.

The specific configuration, integrations, and automation workflows deployed may vary per client engagement. The Service is not a standardized software product.

3. Use of Google API Services

Where a client engagement includes Google Calendar or Gmail integration, Agenary accesses those services solely to create appointment events and send confirmation messages on the client's behalf.

You retain full ownership of your data. Agenary does not claim ownership of any content processed through Google APIs.

Agenary's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy (https://developers.google.com/terms/api-services-user-data-policy), including the Limited Use requirements.

Google Calendar access is limited to creating events related to the booked appointment. Gmail access is limited to sending confirmation messages only. We do not read, store, or analyze inbox contents or unrelated calendar data.

4. AI Systems — Disclaimer

The Service uses artificial intelligence and large language models to conduct conversations and take automated actions. You acknowledge and agree that:

  • AI systems may produce errors, incomplete responses, or inaccurate outputs

  • Appointment details (date, time, service type) should be verified before being relied upon

  • Agenary does not guarantee specific outcomes from AI-conducted conversations, including booking rates or lead quality

  • AI behavior is configured per client — responses are not guaranteed to be identical across deployments

5. Limitation of Liability

To the fullest extent permitted by Israeli law, Agenary shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service, including:

  • Errors in appointment scheduling (wrong times, double bookings, missed confirmations)

  • Business interruption or lost revenue resulting from technical failures

  • Failures or outages of third-party services beyond Agenary's control

  • Actions taken in reliance on AI-generated outputs without independent verification

Agenary's total liability for any claim arising under these Terms shall not exceed the fees paid by the business client in the three months preceding the claim.

6. Client and User Responsibilities

Business clients agree to:

  • Obtain valid, documented consent from all individuals before submitting their data to Agenary's system

  • Comply with Israeli Privacy Protection Law (Amendment 13), the Communications Law (Bezeq and Transmissions), 5742-1982, and any applicable regulations governing direct marketing and outbound contact

  • Not use the Service to contact individuals who have not consented or who are registered on the Israeli Do Not Call registry

  • Maintain accurate records of consent for each individual submitted to the system

All users agree not to:

  • Use the Service to send spam, unsolicited messages, or fraudulent communications

  • Attempt to reverse engineer, copy, or interfere with Agenary's workflows, systems, or proprietary infrastructure

  • Submit false or fabricated lead data into the system

7. Intellectual Property

All workflows, automation logic, AI prompts, system architecture, and related infrastructure developed by Agenary remain the sole intellectual property of Agenary, regardless of whether they are deployed in a client environment.

Business clients own their lead data and contact records. Agenary owns the infrastructure used to process them.

8. Termination

Agenary reserves the right to suspend or terminate access to the Service at its sole discretion, with or without notice, for conduct that violates these Terms, causes harm to any party, or for any other legitimate business reason.

Upon termination, client data will be returned or deleted within 14 days, as specified in the applicable service agreement.

9. Changes to Terms

We may update these Terms at any time. The updated version will be posted at https://agenary.com with a revised date. Business clients will be notified by email of material changes. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the State of Israel. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Israel.
